These Terms of Service govern your use of NorthVista's web design, development, and digital marketing services. By engaging our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using NorthVista's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These terms apply to all visitors, users, and others who access or use our services, including but not limited to clients, potential clients, and website visitors.

2. Services Description

NorthVista provides professional web design, development, and digital marketing services, including but not limited to:

  • Custom website design and development
  • E-commerce solutions and online stores
  • Mobile application development
  • Search engine optimization (SEO)
  • Social media marketing
  • Content creation and management
  • Digital advertising and media buying
  • Brand identity and design services
  • AI-powered solutions and automation

3. Client Responsibilities

3.1 Project Information

Clients are responsible for providing accurate, complete, and timely information necessary for project completion, including:

  • Project requirements and specifications
  • Content, images, and other materials
  • Access to necessary accounts and systems
  • Feedback and approval within agreed timeframes

3.2 Content Ownership

Clients must ensure they have the legal right to use all content, images, and materials provided to NorthVista. Clients are responsible for obtaining necessary permissions, licenses, and rights for all third-party content.

3.3 Payment Obligations

Clients agree to pay all fees and charges as specified in their service agreement. Payment terms, including due dates and late fees, are outlined in individual contracts.

4. Service Delivery and Timeline

NorthVista will make reasonable efforts to complete projects within agreed timeframes. However, project timelines may be affected by:

  • Client responsiveness and feedback delays
  • Scope changes or additional requirements
  • Third-party dependencies or delays
  • Technical complexities or unforeseen challenges

Any timeline adjustments will be communicated to clients in advance whenever possible.

5. Intellectual Property Rights

5.1 Client Content

Clients retain ownership of their original content, including text, images, logos, and other materials provided to NorthVista.

5.2 NorthVista Work Product

Upon full payment, clients receive ownership of the final work product created specifically for their project. This includes custom designs, code, and other deliverables as specified in the service agreement.

5.3 Third-Party Materials

Some projects may include third-party materials (fonts, stock images, plugins, etc.). Clients are responsible for obtaining appropriate licenses for continued use of such materials.

5.4 NorthVista Proprietary Methods

NorthVista retains rights to its proprietary processes, methodologies, and general knowledge developed through providing services.

6. Payment Terms

6.1 Pricing and Invoicing

Service pricing is based on project scope, complexity, and requirements as outlined in individual proposals and contracts. All prices are subject to applicable taxes.

6.2 Payment Schedule

Payment terms vary by project type and size. Common payment structures include:

  • 50% deposit, 50% upon completion
  • Monthly retainer payments
  • Milestone-based payments
  • Hourly billing for ongoing services

6.3 Late Payments

Late payments may incur additional fees as specified in the service agreement. NorthVista reserves the right to suspend services for accounts with outstanding balances.

7. Revisions and Changes

NorthVista includes a reasonable number of revisions in project pricing. Additional revisions beyond the agreed scope may incur additional charges. Major scope changes may require a new proposal and contract amendment.

Clients must provide clear, specific feedback for revisions. Vague or contradictory feedback may result in additional revision rounds.

8. Confidentiality

NorthVista maintains strict confidentiality regarding client information, business strategies, and project details. We will not disclose confidential information to third parties without written consent, except as required by law.

This confidentiality obligation continues after project completion and applies to all NorthVista employees and contractors.

9. Warranties and Disclaimers

9.1 Service Warranties

NorthVista warrants that services will be performed in a professional manner consistent with industry standards. We provide a limited warranty on workmanship for a period specified in the service agreement.

9.2 Disclaimers

NorthVista disclaims all other warranties, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding third-party services or platforms
  • Warranties about specific business results or outcomes

10. Limitation of Liability

NorthVista's liability for any claims arising from our services is limited to the total amount paid by the client for the specific project or service in question. In no event shall NorthVista be liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or business opportunities
  • Damages resulting from third-party actions or services
  • Damages exceeding the total project value

11. Termination

11.1 Termination by Client

Clients may terminate services with written notice. Payment is due for all work completed up to the termination date, plus any applicable cancellation fees.

11.2 Termination by NorthVista

NorthVista may terminate services for:

  • Non-payment of fees
  • Breach of contract terms
  • Unreasonable client demands or behavior
  • Technical or legal impossibility

12. Force Majeure

NorthVista shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

13. Governing Law and Disputes

These terms are governed by the laws of British Columbia, Canada. Any disputes arising from these terms or our services shall be resolved through binding arbitration or in the courts of British Columbia.

14. Modifications to Terms

NorthVista reserves the right to modify these terms at any time. Changes will be posted on our website and will become effective immediately. Continued use of our services after changes constitutes acceptance of the new terms.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
